Aurora Cannabis Inc. has announced its willingness to review a bid from a U.S. cannabis company seeking to acquire the Edmonton-based company. The establishment of a special committee by Aurora to evaluate the unsolicited offer came shortly after Curaleaf Holdings Inc. disclosed its intentions to acquire all shares of the target company.
Should the acquisition be successful, it would result in the formation of a united cannabis enterprise operating across 17 countries in Europe, North America, and other global markets, as stated by Curaleaf. The company, headquartered in Stamford, Conn., and listed on the Toronto Stock Exchange, revealed its public bid following unsuccessful private negotiations with Aurora’s leadership.
Curaleaf expressed disappointment in Aurora’s board for declining to engage in talks after receiving a formal letter of intent on June 23 from Curaleaf’s CEO, Boris Jordan. Despite a subsequent follow-up letter sent on July 7, Aurora allegedly did not participate in what Curaleaf deemed as constructive discussions.
Jordan emphasized the significance of the proposed premium, the compelling strategic synergy, and the unjustified delays in negotiations. Curaleaf remains open to collaborating with Aurora’s board to advance the value-maximizing transaction swiftly.
Curaleaf’s proposal entails offering Aurora shareholders $4 US per share along with an additional $0.75 US in cash for each Aurora share. Aurora confirmed the receipt of the letters from Curaleaf but disputed the claim that it refused to engage with the offer.
Aurora stated that the lead independent director had been in recent correspondence with Curaleaf’s CEO, expressing a focus on executing its business plan and encouraging ongoing dialogue between the parties. A special committee of independent directors will now evaluate the proposal’s alignment with stakeholders’ interests, although there is no guarantee of a finalized agreement at this stage.
While acknowledging Curaleaf’s interest, analysts from TD Cowen cautioned that the current offer undervalues Aurora’s long-term potential. They emphasized Aurora’s market leadership, product portfolio, financial stability, and regulatory expertise as key factors that could drive substantial value creation over time.
Jordan highlighted the potential value creation through the merger, leveraging Curaleaf’s global distribution network with Aurora’s medical cannabis franchise and production capabilities. The combined revenue of both companies exceeded $1.5 billion US in the past year, with Curaleaf anticipating annual cost synergies of at least $40 million US through the proposed acquisition.
The merger is seen as a mutually beneficial opportunity for both Curaleaf and Aurora shareholders, offering increased global diversification and exposure to favorable U.S. regulatory trends.
